1. Introduction and Operating Entity

Welcome to SereneShade (the "Site"), accessible at sereneshade.shop. This Terms of Service agreement ("Terms") governs your access to and use of the Site and any purchases you make through it.

The SereneShade storefront is owned and operated by Willow & Wake Retail Group LLC ("we," "us," or "our"), a specialty retail operating company that manages online storefronts focused on comfort and sleep-enhancement products. Willow & Wake Retail Group LLC performs all customer-facing operations for SereneShade, including sales processing, returns handling, and customer support. References to "SereneShade" in these Terms refer to the storefront operated by Willow & Wake Retail Group LLC.

SereneShade is an independent multi-brand specialist for eye masks and sleep comfort essentials. We curate products from established brands and offer them to you through a single streamlined shopping experience. We are not an official brand store for Targus, SwissGear, Dore & Rose, or Away, and nothing in these Terms or elsewhere on the Site should be construed as suggesting otherwise.

2. Geographic Scope and Eligibility

The Site operates in the United States and transacts in U.S. Dollars (USD). By accessing the Site or placing an order, you represent that you are at least 18 years of age and that you have the legal capacity to enter into binding contracts. If you are accessing the Site on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, including where we reasonably suspect fraud, unauthorized activity, or a violation of these Terms.

3. Site Use and Accounts

You may browse the Site without creating an account. Where account registration is offered, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@sereneshade.shop of any unauthorized use of your account.

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of any third party or interfere with the normal operation of the Site. Prohibited activities include, without limitation:

• Attempting to gain unauthorized access to any portion of the Site, other users' accounts, or our systems;
• Using automated means (bots, scrapers, or similar) to access or harvest data from the Site without our prior written consent;
• Uploading or transmitting viruses, malware, or other harmful code;
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity;
• Engaging in any activity that could damage, disable, or impair the Site or its servers.

4. Catalog Information and Product Accuracy

We take reasonable care to ensure that product descriptions, images, specifications, and pricing information displayed on the Site are accurate and current. However, we do not warrant that product descriptions, images, or other content on the Site are error-free, complete, or current. If a product is not as described, your sole remedy is set out in our Returns and Refunds section below.

SereneShade offers a curated selection of products from the following brands: Targus, SwissGear, Dore & Rose, and Away. We are an independent retailer of these products, not an authorized brand store, and all product listings are presented for informational and sales purposes only.

We perform human review of each product record against the brand's official specification sheet, ensuring that images, titles, and attribute values match the original product. We also conduct spot-checks on incoming shipments for common defects, including loose stitching, fabric pilling, elastic tension, and packaging integrity. A failure rate above 1.5% triggers a full-lot return to the supplier.

5. Pricing, Promotions, and Commercial Model

All prices on the Site are listed in U.S. Dollars (USD). Prices can vary from one brand to another and over time due to three primary factors:

• Each brand's wholesale pricing structure;
• The timing of supplier promotional calendars; and
• Our own clearance of slow-moving inventory.

Customers will see the most consistent pricing on best-selling staples, while seasonal items may fluctuate.

Because our operating model is lean, we are typically able to offer everyday prices that are 10–20% below the manufacturer's suggested retail price, and flash sales may go deeper. This is a sustainable saving, not a liquidation event. Our operating model relies on multi-brand consolidation, direct and contracted sourcing from authorized distributors or factories, low-cost digital infrastructure, rolling inventory orders, and in-house quality screening. Promotions and discounts are funded through supplier marketing allowances and the incremental volume they drive; they never come from our product quality or service budgets.

From time to time, we may offer discount codes or promotional offers. The coupon code SERENE15 entitles eligible customers to 15% off eligible items at checkout. Coupon eligibility follows checkout rules and may exclude certain products or categories. Promotional codes cannot be combined with other offers unless expressly stated, are not redeemable for cash, and may be modified or withdrawn at any time. We reserve the right to correct pricing errors and to cancel any order placed at an incorrect price.

6. Orders and Acceptance

When you place an order through the Site, you are making an offer to purchase products at the prices and terms displayed at the time of checkout. We reserve the right to accept or decline any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraud.

An order is not accepted by us until we send you an order confirmation email. We may also require additional verification or information before accepting an order. If we cancel an order after you have been charged, we will issue a full refund to your original payment method.

7. Payment Terms

We accept the following payment methods: credit cards and PayPal. By providing payment information, you represent that you are authorized to use the payment method and that the information you provide is accurate and complete. Payment is due at the time of order placement.

All transactions are processed in U.S. Dollars. Your card issuer or PayPal may apply foreign transaction fees; we are not responsible for any such fees imposed by your financial institution.

8. Shipping and Delivery

We offer standard shipping on all orders placed through the Site. The shipping cost is $8.00 for orders under $45.00. Orders of $45.00 or more qualify for free standard shipping. Shipping charges are calculated at checkout and displayed before you confirm your order.

Delivery times may vary depending on your location, the availability of the product, and other factors. We will provide an estimated delivery date at the time of order confirmation, but we do not guarantee specific delivery dates. Risk of loss passes to you upon delivery of the products to the carrier.

9. Returns, Refunds, and Exchanges

We want you to be completely satisfied with your purchase. If you are not, you may return eligible items within 30 days of delivery (the "Return Window"). To initiate a return, please contact our customer support team at support@sereneshade.shop with your order number and the reason for your return.

To qualify for a return:

• The item must be returned within the 30-day Return Window;
• The item must be in its original condition, unused, and with all tags and packaging intact; and
• You must provide proof of purchase (order number or email confirmation).

Upon receipt and inspection of the returned item, we will process your refund to the original payment method within a reasonable period. Refunds typically appear on your statement within 5–10 business days after processing. Return shipping costs are the responsibility of the customer unless the return is due to an error on our part (e.g., incorrect item shipped or defective product).

Certain items may not be eligible for return due to hygiene or safety reasons, as indicated on the product page at the time of purchase.

10. Warranty

Warranty coverage for products purchased through SereneShade follows the product information and support guidance provided by the manufacturer or brand. Any warranty claims should be directed to us in the first instance, and we will assist you in resolving the issue or directing you to the appropriate brand support channel.

Nothing in these Terms affects your statutory rights under applicable consumer protection laws.

11. Authenticity and Quality Commitment

We guarantee that all items sold through SereneShade are 100% authentic and sourced exclusively through authorized brand distributors and brand-owned operations. Every invoice and certificate of authenticity is kept on file. Products with unclear provenance are never listed.

If you have reason to believe a product you received is not genuine, you may file an authenticity claim by contacting our quality assurance department. To initiate a claim, please provide:

• Your order number and product name;
• A full set of product photos (front, back, labels, logo);
• Any included documentation (receipt, care tag, batch number); and
• A short description of why you suspect the item is not genuine.

Our review process is as follows:

1. The quality assurance team acknowledges your claim within one business day.
2. A preliminary visual review is completed within two business days.
3. If visual clues are inconclusive, the item is sent to the brand's authentication team at no cost to you.
4. The final verdict and remedy plan are sent to you within seven business days of receipt, or up to 14 days if lab authentication is required.

If an item is confirmed to be non-genuine, we will immediately refund 200% of the purchase price, arrange return shipping at no cost to you, and permanently remove the responsible supplier from our network. We will also review other items from that supplier to ensure no other customers are affected. This authenticity remedy is our commitment to you and is in addition to any other rights you may have under applicable law.

12. Intellectual Property

The Site and all of its contents, including but not limited to text, graphics, logos, images, software, and the arrangement and compilation thereof, are the property of Willow & Wake Retail Group LLC or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any portion of the Site without our prior written consent.

All brand names, product names, and logos appearing on the Site (including Targus, SwissGear, Dore & Rose, and Away) are trademarks of their respective owners. Their use on the Site is for product identification purposes only and does not imply any affiliation with or endorsement by the brand owners.

13. Acceptable Use and Prohibited Conduct

In addition to the conduct restrictions set out in Section 3, you agree not to:

• Use the Site to transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content;
• Attempt to interfere with the proper functioning of the Site, including through denial-of-service attacks or similar means;
• Reverse engineer, decompile, or disassemble any portion of the Site;
• Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use of the Site;
• Expressly or implicitly represent that the Site is the official domain of any brand sold through the Site;
• Claim to be an official brand store for Targus, SwissGear, Dore & Rose, or Away.

14. Service Availability and Disclaimers

We strive to keep the Site available at all times, but we do not guarantee that the Site will be uninterrupted, timely, or error-free. We may suspend, restrict, or terminate access to the Site at any time for maintenance, repairs, or operational reasons. We may also modify or discontinue any feature of the Site without notice.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS SOLD THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE QUALITY OF ANY PRODUCT, SERVICE, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH THE SITE WILL MEET YOUR EXPECTATIONS, OR THAT ERRORS IN THE SITE WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WILLOW & WAKE RETAIL GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH THE SITE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCTS PURCHASED THROUGH THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Willow & Wake Retail Group LLC, its officers, directors, employees, agents, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (i) your use of the Site; (ii) your violation of these Terms; (iii) your violation of any law or the rights of any third party; or (iv) any content you submit to the Site.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. The merchant location for SereneShade is 2487 Birchwood Drive, Austin, TX 78704, United States.

Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you hereby submit to the personal jurisdiction of such courts for the purpose of any such dispute.

18. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on this page, and the "Last updated" date at the top of this page will reflect the effective date of the most recent revisions. By continuing to access or use the Site after any changes become effective, you agree to be bound by the revised Terms. These Terms of Service constitute the entire agreement between you and Willow & Wake Retail Group LLC regarding your use of the SereneShade website and supersede all prior agreements and understandings, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
